We assist our clients to purchase a "Shelf Company" or "Ready Company". A shelf company represents dormant companies that have been incorporated under the Companies Act, 1965 and ready to be used by the purchasers upon the transfer of shares and directorship. The purpose of having a shelf company is to expedite the registration process in which the purchasers may use the company within two (2) days after the purchase.
The interested parties will be given a name list for selection. The new shareholders may change the name after the acquisition but subject to the availability of name from Companies Commission of Malaysia (CCM) and payment of nominal professional fee. Normally, the companies put on shelf for sales had been registered with the CCM within the past six (6) months. The company has been dormant since the date of incorporation and the existing directors cum shareholders will provide financial indemnity to the new directors cum shareholders up to the date of acquisition. Thus, this company is without liability and the new directors cum shareholders may start operations within two (2) days after the purchase. |
